2.CHANGES TO THESE TERMS AND THE PLATFORM 

In accordance with our work and updates to provide you a better service and better Platform, we may change our Service and Policies, and we may also need to make changes and updates to these Terms so that they accurately reflect our Service and Policies. In such situations, we will notify you by updating the ‘’Effective as of’’ date at the top of this Terms of Use. We recommend that you to review the Terms of Use each time you visit the Platform or the Website to stay informed of our Terms of Use. Changes we make to the Terms will not be retroactive. After the updates we may make from time to time, if you continue to use the Service, you will be bound by the updated Terms. If you do not want to agree to these or any updated Terms, you can delete your account any time you want.

We may change the Platform or delete features available on the Platform at any time and for any reason. We are not obligated to provide maintenance, technical support, or updates to you for the Platform, but we may provide these in our discretion. We may terminate or suspend your account and your use of the Platform or any services we may provide you that are associated with your use of the Platform at any time in our discretion. Our right to termination or suspension may be without cause and/or without notice. You may terminate your use of the Platform at any time, with or without cause. Upon your termination and deletion of the account, you may no longer use or access to the Platform. Once your use of the Platform is terminated, any data you have stored on the Platform while using may not be retrieved after you stopped using the Platform. In addition, even if you terminate your use of the Platform, SurgBuddy may continue to show some or all of your content for a while.

3.YOUR ACCOUNT AND CONTENTS ON SURGBUDDY PLATFORM

 

3.1.Obligations 

   3.1.1. Accurate and Up to Date Information 

To access or use our Services, you must create an account on SurgBuddy Platform. While you are creating/revising your account, you must provide accurate and up-to-date information. It is important that you preserve and update your details and any other information you provide to us, to keep such information current and complete.

3.1.2. Account Privacy

You should know that your account is belong to you and your account password should be confidential, therefore you should not disclose your password to any third-party or you should not authorize a third-party to access your account. If you know or suspect that any third-party knows your password or has accessed to your account, you must notify us immediately at info@surgbuddy.com. Otherwise, you will be responsible for any post sharing and activity in your account, unless you close your account or report an abuse to us.

3.1.3. Responsibility About Contents 

By creating an account, you agree that you are solely responsible (to us and to others) for the activity that occurs under your account. Your failure to comply with any of the provisions of these Terms or if your activities violate our Community Guidelines will disrupt the Services or violate third-party rights and/or violate any applicable law or regulation. You should also know that you are also responsible for ensuring that all persons who access our platform through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.

You should not post or send any confidential or proprietary Content to SurgBuddy, and you should know that SurgBuddy does not want you to post or send any confidential or proprietary Content. Any Content (including unsolicited contents) posted or sent to the Platform will not be deemed as confidential or proprietary.

You also agree that we have right to use any ideas, concepts, know-how or techniques you send to Platform for any purpose. Do not post content about or send any ideas, suggestions, or other content that you wish to keep confidential or for which you expect to receive compensation.

You should not upload, post, or make it available on or through the Platform any Content protected by copyright, trademark, or other proprietary right of any third-party without the express written permission of the owner of such right(s). You should be solely liable for any damages resulting from any infringement of copyright, proprietary rights, or any other harm resulting from such submission.

Moreover, the Content you upload to the SurgBuddy Platform cannot contain any medical advice. It is strictly prohibited and under our control. The Content including any medical advice will be deleted immediately.

3.1.4. Notifications and Contact 

When you create an account, you consent to receive emails from SurgBuddy. Please note that as long as you maintain an account, you may not ‘’opt out’’ of receiving service or account-related emails from SurgBuddy and all agreements, notices, disclosures, and other communications that we provide to you electronically. Such communications must be in writing.

3.2. Your License to SurgBuddy 

By submitting any kind of content to SurgBuddy including but not limited to photographs, images, videos, sounds etc., you grant to us a non-exclusive, permanent, transmissible, perpetual, irrevocable, royalty-free, sublicensable, unrestricted and international right and license to keep, make, have made, use, have used, copy, reproduce, display, modify, publish, translate, transmit, manufacture, and distribute or otherwise make available to others such Content (in whole or in part and for any purpose) worldwide and/or incorporate it in other works in any form, media, or technology known or hereafter developed; and to exercise all copyright, trademark, publicity, patent, privacy, and other proprietary rights (in accordance with your privacy and app settings) with regard to such Content. You also hereby grant each user of the Platform a non-exclusive license to access through the Platform Content submitted by you, and to tag, review, comment on, use, reproduce, distribute, display, and perform such Content as permitted through the functionality of the Platform and under this Agreement. For certain contents, you can terminate this license by deleting your content or closing your account. However, there are exceptions where a technically reasonable period of time is required for the content you post as part of our service to be copied, reposted, or stored by other users and deleted from our backup and other systems. In addition, some mandatory conditions may restrict the immediate deletion. These conditions are where there is a legal obligation to detect and investigate illegal activities or violations of our terms and policies and misuse of our products, to fulfill the requests of law enforcement officers with a judicial or administrative authority, or to protect evidence. In such cases, the contents may be kept until the reasons that make their storage obligatory disappear. The license you have granted to us will continue to valid in all such cases until your content completely deleted from the Platform.

3.3. Deletion of the Account

If you no longer want to use our Services again, you can delete your account any time you want. Once you choose to delete your account; you will not be able to reactivate your account or retrieve any of the content or information you have added.

4.LINKS TO OTHER APPLICATIONS OR SITES 

The Platform may contain links to other applications or sites maintained by third-parties (‘’Third-Party Apps’’, ‘’Third-Party Sites’’) or you may be able to log into the Platform through a Third-Party Applications or Sites.  However, Terms, Privacy Policy, Community Guidelines, and any other policies of SurgBuddy do not enforce or govern any Third-Party Applications and Sites. Third-Party Applications or Sites are not under the control of SurgBuddy and SurgBuddy does not endorse or assume any responsibility for the content, information or functionality of any Third-Party Applications or Sites. As a result, your access or the risks because of using any Third-Party Applications or Sites are under your notice and you expressly relieve SurgBuddy of any and all liability related to functionality, content or information contained on any Third-Party Applications and Sites when you use them. In addition, your dealings with or participation in promotions third-parties found on the Platform, including payment and delivery of goods or services or any other terms (such as warranties) are solely between you and the third-parties. You agree that SurgBuddy shall not be responsible to you for any loss or damage of any kind relating to your dealings with such third-parties. 

5.INTELLECTUAL PROPERTY RIGHTS OF SURGBUDDY 

SurgBuddy grants you a limited, personal, revocable, non-assignable and non-exclusive license to use the Platform. SurgBuddy owns the texts, photographs, videos, visual interfaces, interactive features, graphics, design, compilation, computer code, products, software and all other elements and components of the Platform (‘’SurgBuddy Content’’), excluding your Submissions. SurgBuddy owns the copyrights, trademarks, service marks, trade names and other intellectual property and proprietary rights throughout the world associated with the SurgBuddy Content and the Platform which are protected by copyright, trade dress, patent, trademark laws and all other applicable intellectual and proprietary rights and laws. You may not modify, reproduce, republish, frame, download, transmit, distribute, lease, loan, sell, assign, license, sublicense, reverse engineer, disassemble, publicly display, or create derivative works based on any of the SurgBuddy Content in whole or in part, or the Platform except as expressly authorized in writing by SurgBuddy. In addition, SurgBuddy does not grant you any express or implied rights in and to the Platform or SurgBuddy Content, and all rights in and to the Platform and the SurgBuddy Content, are retained by SurgBuddy.

6.PLATFORM MONITORING 

6.1.Submissions and Responsibility 

In SurgBuddy Platform, you may be able to post or submit comments, questions, direct messages, photographs, videos (including videos created through a third-party tool) and other materials on or through the Platform (collectively, ‘’Submission’’ or ‘’Submissions’’). Your Submissions, (including to the extent applicable personally identifiable information), are made voluntarily and are subject to the SurgBuddy Community Guidelines and the SurgBuddy Privacy Policy. You understand that SurgBuddy is not required to treat any of your Submissions as confidential. In addition, you understand and agree that your Submissions (including your username associated with your Submissions) are not confidential and are publicly available for anyone to view on the Platform.

SurgBuddy does not claim ownership of the Submission (s) you post or submit on the Platform. However, by submitting or posting any material on the Platform, you are hereby expressly granting SurgBuddy a non-exclusive, irrevocable, worldwide, perpetual, royalty-free license (including sublicense) to use, copy, distribute, publicly display, publicly perform, modify (including create derivative works) or transmit (including digital transmission of a sound recording) your Submission, in connection with the Platform and SurgBuddy business, including without limitation promoting and redistributing part or all of the Platform or SurgBuddy business, in any media formats and through any media channels now known or hereafter developed. You also grant SurgBuddy permission to publish and use your name, likeness, voice in connection with your Submission. In addition, by uploading a Submission to the Platform, you hereby waive any rights of privacy or publicity. You also grant SurgBuddy the right to grant any of the above rights to other persons or entities, including for the purpose of promoting the Platform or the SurgBuddy business, without any compensation or obligation to you.

SurgBuddy does not pay you for your Submission. You also understand and agree that SurgBuddy may, in its sole discretion, refuse, or remove part or all of your Submission from the Platform at any time if SurgBuddy considers the Submission to be illegal, offensive, harassing, infringing, inappropriate and/or otherwise violates these Terms or the SurgBuddy Community Guidelines or other policies. For each Submission, you represent and warrant that you have all rights necessary for you to post or submit the Submission and to grant the licenses and permissions in this section and you expressly accept, declare, and commit that you are solely responsible for the content of your Submission. Further, you accept, declare, and commit that your Submissions does not violate any law.

6.2.Content Posted by Others 

SurgBuddy does not have any responsibility of any content posted by other SurgBuddy community members. Content posted by other SurgBuddy community members are not the opinion of SurgBuddy. SurgBuddy does not make any representations or warranties about the accuracy or reliability of the content. SurgBuddy community members are solely responsible for the content posted by them respectively. However, if you think that a content on the Platform is against to applicable laws, SurgBuddy’s Terms of Use, Community Guidelines and other policies or your personal rights have been violated due to a content, as the relevant right owner you may contact us via info@surgbuddy.com to review and remove the content if it is needed. 

6.3.Additional Information 

Using this Platform to transmit any material that falls in the following categories is expressly prohibited under this Agreement (collectively, the ‘’Proscribed Materials’’):

• Post, upload, share, transmit, distribute, facilitate distribution, or otherwise make available through this Platform any unlawful, infringing, harmful, harassing, defamatory, threatening, intimidating, fraudulent, tortious, vulgar, or otherwise objectionable material of any kind, including unauthorized or unsolicited advertising.
• Impersonate any person or entity; falsely state or otherwise mispresent your affiliation with any person or entity in communications with the Platform or SurgBuddy; or misrepresent or express or imply that we endorse any statement you make.
• Disseminate on the Platform any viruses, worms, spyware, adware, or other malicious computer code, file, or program that is harmful or invasive or may or is intended to damage or hijack the operation of, or monitor the use of, any hardware, software, or equipment, or otherwise violate or attempt to violate the security of this Platform.
• Use the Platform to defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others, including without limitation others’ privacy rights or rights of publicity, or harvest or collect or try to collect personally identifiable information about users of the Platform.
• Interfere with, disrupt, or suspend the operation of the Platform or others’ use of the Platform in any way (including without limitation by hacking or defacing any portion of the Platform).
• Reproduce, duplicate, sell, resell, or otherwise exploit for any commercial purposes, any portion of the Platform.
• Modify, adapt, translate, reverse engineer, decompile or disassemble any portion of the Platform.
• Remove any copyright, trademark, or other proprietary rights notice from the Platform or materials originating from the Platform.
• Use the Platform for any fraudulent or unlawful purpose.
• Violate any applicable laws or regulations; or assist or permit any person in engaging in any of the activities described above.

If it comes to our attention, we discover, or we are notified of an allegation from you that this Platform or a submission contains any Proscribed Materials, then we may, but have no obligation to, investigate the allegation and determine in our sole discretion whether to remove or not.

7.COPYRIGHT POLICY 

If you believe that your Submission or any other work has been used in a way that constitutes copyright infringement, or your intellectual property right have been otherwise violated, please notify SurgBuddy via info@surgbuddy.com. In your notification, please provide all of the following in writing:

• Identify the copyrighted work or works you claim has been infringed,
• Identify the material on the Platform that you claim is infringing with enough details so that we may locate the material,
• Provide a statement that you have a good faith belief that the use of the material on the Platform is not authorized by the copyright owner, its agent, or the law,
• Provide a statement declaring that the notification is accurate, and, under penalty of perjury, that you are the owner of the copyright interest involved or that you are authorized to act on behalf of the exclusive owner,
• Provide information reasonably sufficient to permit SurgBuddy to contact you, such an address, telephone number, and email address and forward all these statements to us as the right owner or the person authorized to act on behalf of the right owner with your physical or electronic signature.

Please note that the breach notification you make must be accurate and false or misrepresent report may result in your personal liability.

Upon receipt of notice as described above, SurgBuddy will take any action, in its sole discretion, it deems appropriate, including removal of the alleged infringing material from the Platform, suspending and/or terminating the accounts of the violating member(s).

8.PRODUCT, SERVICE AND TECHNICAL INFORMATION 

We make reasonable efforts to display and describe our products and services on the Platform accurately and completely. However, the detail and accuracy of the images and descriptions of products and services that you see on the Platform will depend on several things, including your devices and Internet connections. Consequently, we do not guarantee that the products, images, available features, services, or descriptions displayed or provided on the Platform are or will remain accurate or complete in every detail. Further, we may update the products, images, available features, services, or descriptions from time to time. The technical information, recommendations and other information made available on the Platform, including descriptions regarding products, are provided for convenience only.

Despite all our efforts, errors may occur, and, in such event, we shall make reasonable efforts to bring these errors to your attention and correct them in a reasonable amount of time.

 9.TERMS OF PURCHASE 

SurgBuddy does not sell any product or service to you. Please note that if you purchase any products or services on or through the Platform, SurgBuddy has no liability, and they shall not be covered under this Agreement. It is your own risk to purchase any product or service.

10.CONFIDENTIALITY AND SECURITY OF THE INTERNET 

Use of the Internet is solely at your own liability and risk and is subject to all applicable local, state, federal, and international laws, and regulations. While we have reasonably endeavored to create a secure and reliable Platform, please be advised that the confidentiality of any communication or material transmitted to us over the Internet cannot be guaranteed. Consequently, neither we nor our affiliates are responsible for the security of any information transmitted via the Internet, the accuracy of the information contained on this Platform, or the consequences of any reliance on such information. You must make your own determination as to these matters.

11.DISCLAIMER OF LIABILITY 

11.1. No Warranty 

SURGBUDDY MAKES NO COMMITMENTS OR WARRANTIES OF ANY KIND IN CONNECTION WITH THESE SERVICES, INCLUDING THE COMMITMENT TO THE SERVICES TO BE UNINTERRUPTED AND ERROR-FREE. SURGBUDDY PROVIDES THE PLATFORM, THE SURGBUDDY CONTENT AND ALL INFORMATION, MATERIALS, PRODUCTS, AND OTHER CONTENT AVAILABLE ON AND THROUGH THE PLATFORM ON AN ‘’AS IS’’ AND ‘’AS AVAILABLE’’ BASIS ‘’WITH ALL FAULTS.’’ SURGBUDDY DISCLAIMS ALL WARRANTIES OF ANY KIND (WHETHER EXPRESS OR IMPLIED) AS WELL AS ANY GUARANTEES OR CONDITIONS RELATED TO THE PLATFORM. WITHOUT LIMITING THE FOREGOING, TO THE FULLEST EXTENT PERMITTED BY LAW, SURGBUDDY DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT AND NON-INFRINGEMENT. SURGBUDDY DOES NOT REPRESENT OR WARRANT THAT THE PLATFORM OR ANY ELECTRONIC COMMUNICATION FROM SURGBUDDY WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR DEFECTS. IN ADDITION, SURGBUDDY EXPRESSLY DISCLAIMS ANY AND ALL RESPONSIBILITY AND LIABILITY WITH RESPECT TO SEPARATE AGREEMENTS YOU MAY MAKE WITH THIRD PARTIES AND YOU WILL LOOK SOLELY TO SUCH PERSONS AND/OR ENTITIES WITH RESPECT TO ANY AND ALL CLAIMS ARISING OUT OF SUCH AGREEMENTS. YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK. 

11.2. Liability Limitation 

NEITHER WE NOR OUR AFFILIATES WILL BE LIABLE FOR ANY DAMAGES RESULTING FROM YOUR USE OF, RELIANCE UPON TO THIRD-PARTIES OR THE AGREEMENTS THAT YOU MAKE WITH THIRD-PARTIES, THIS PLATFORM OR ANY PRODUCTS OR SERVICES OBTAINED ON OR THROUGH THIS PLATFORM. IN THE EVENT OF ANY PROBLEM WITH THIS PLATFORM, YOUR SOLE REMEDY IS TO CEASE USING THE PLATFORM. IN THE EVENT OF ANY PROBLEM WITH ANY PRODUCTS OR SERVICES OBTAINED ON OR THROUGH THIS PLATFORM, PLEASE REFER TO THE MATERIALS YOU RECEIVED OR THE AGREEMENT YOU ASSENTED TO YOU UPON PURCHASE OF THOSE PRODUCTS OR SERVICES.

UNDER NO CIRCUMSTANCES WILL WE OR OUR AFFILIATES, OR ANY OF OUR OR THEIR RESPECTIVE DIRECTORS, OFFICERS, SHAREHOLDERS, PROPRIETORS, PARTNERS, EMPLOYEES, AGENTS, REPRESENTATIVES, SERVANTS, ATTORNEYS, PREDECESSORS, SUCCESSORS OR ASSIGNS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO, LOST PROFITS AND DAMAGES THAT RESULT FROM INCONVENIENCE, DELAY, OR LOSS OF USE) ARISING OUT OF USE OF THIS PLATFORM OR PRODUCTS OR SERVICES OBTAINED ON OR THROUGH THIS PLATFORM, EVEN IF WE OR THEY HAVE BEEN ADVISED OF THE POSSIBILTY OF SUCH DAMAGES.

12.INDEMNIFICATION 

Any and all claims, proceedings, damages, injuries, liabilities, losses, costs, and expenses (including reasonable attorney’s fees and litigation expenses) relating or arising from:

1. Your use of this Platform or any products,
2. Any arrangements you make based on information obtained on or through this Platform
3. Any breach by you of this User Agreement.

You are solely responsible, and you will defend, indemnify, and hold harmless SurgBuddy and our affiliates, and our and their respective directors, officers, shareholders, proprietors, partners, employees, agents, representative, servants, attorneys, predecessors, successors, and assigns.

13.JURISDICTION 

Regardless of the jurisdiction in which you work or reside, this User Agreement is made in the Republic of Turkey and will be construed and enforced in accordance with Turkish law (without regard to its provisions governing conflicts of law), as applied to agreements entered and completely performed in Turkey.

ANY ACTION ARISING OUT OF THE CONTENT OF THIS PLATFORM, YOUR ACCESS TO OR USE OF THE PLATFORM, YOUR UNAUTHORIZED CITATION, REPRODUCTION, RE-PUBLICATION OR USE OF ANY SURGBUDDY MARKS, OR ANY ACTION TO ENFORCE THIS USER AGREEMENT WILL BE BROUGHT ONLY IN THE STATE COURTS LOCATED IN ISTANBUL, TURKEY, YOU EXPRESSLY AGREE TO BE SUBJECT TO THE JURISDICTION OF SUCH COURTS, AND YOU WAIVE AND AGREE NOT TO ASSERT THE OBJECTIONS OR DEFENSES OF LACK OF PERSONAL JURISDICTION, IMPROPER VENUE, OR FORUM NON CONVENIENS AS TO ANY SUCH ACTION BROUGHT IN ANY SUCH COURT. USE OF THIS PLATFORM IS LIMITED SOLELY TO PERSONS WHO AGREE TO RESOLVE ANY AND ALL DISPUTES PERTAINING TO THIS PLATFORM IN THE STATE COURTS OF ISTANBUL, TURKEY, AND SUCH AN AGREEMENT IS AN EXPRESS CONDITION TO USE OF THIS PLATFORM.

This Platform is controlled and operated by SurgBuddy from its offices within Turkey. Those who choose to access this Platform from locations outside of Turkey do so of their own volition and are responsible for compliance with applicable local laws.

14.MISCELLANEOUS 

This User Agreement constitutes the sole agreement and understanding between you and SurgBuddy with respect to your use of this Platform and supersedes all prior agreements with respect to Services. You acknowledged that, in providing your access to and use of this Platform, we have relied on your User Agreement Acceptance.

If any portion of this User Agreement is adjudged invalid or unenforceable by a court of competent jurisdiction, the remaining portions will remain valid, enforceable, and in effect, and the parties will promptly substitute for the invalid provision an enforceable provision which resembles the invalid provision as closely as possible in intent and economic effect.

No joint venture, partnership, employment, or agency relationship exists between you and SurgBuddy as a result of this User Agreement or your use of this Platform.

Failure to insist on strict performance of any provisions of this User Agreement will not operate as a waiver of any subsequent default or failure of performance. No waiver of any provision of this User Agreement will be valid unless in writing and acknowledged in writing or electronically by both parties.

You may not assign or transfer this Agreement (your membership or use of our Services) to anyone else without our consent. However, SurgBuddy may assign this Agreement to its partners or any other party without your consent.

SURGBUDDY’S ADDITIONAL TERMS OF USE FOR HEALTHCARE PROVIDERS

BY CREATING AN ACCOUNT ON SURGBUDDY OR USING ITS PRODUCT AND SERVICES, IN ADDITION TO TERMS OF USE FOR HEALTHCARE PROVIDERS, YOU AGREE TO COMPLY WITH SURGBUDDY’S GENERAL TERMS OF USE, PRIVACY POLICY, AND COMMUNITY GUIDELINES. THEREFORE, THESE ADDITIONAL TERMS OF USE FOR HEALTHCARE PROVIDERS, SURGBUDDY’S GENERAL TERMS OF USE, PRIVACY POLICY AND COMMUNITY GUIDELINES CONSTITUE A LEGALLY BINDING AGREEMENT BETWEEN YOU, SURGBUDDY AND ALL OF ITS PRODUCTS AND SERVICES. IF YOU DO NOT WANT TO ACCEPT ANY OF OUR TERMS OF USE, POLICIES AND OTHER TERMS, PLEASE DO NOT ACCESS OR OTHERWISE USE ANY OF OUR SERVICES. IF YOU WANT TO TERMINATE THIS AGREEMENT, AT ANY TIME YOU CAN DO SO BY CLOSING YOUR ACCOUNT AND NO LONGER USING OUR SERVICES.

Request, Account Registration and Verification 

• Health Care Providers are defined as hospitals, clinics, doctors, caregivers, wellness centers and medical tourism agents/facilitators on SurgBuddy. If you are a health care provider, you must request a Health Care Provider account with SurgBuddy in order to use the Product and Services.
• As part of the requisition process for your account registration and at any time thereafter, the Health Care Provider may be required to provide SurgBuddy with various information and certification such as licenses, qualifications, area of expertise, accreditations and other information in order to prove their credentials, commercial and legal information as a valid healthcare practitioner in the field they claim.
• SurgBuddy needs to verify such credential information and certifications that you provide to us for your account registration. SurgBuddy may ask the Health Care Provider for additional information or make enquiries from third parties to verify the authenticity of their credential information. The Health Care Provider authorizes SurgBuddy to make such enquiries from such third parties both during the registration process and any time thereafter, and the Health Care Provider agrees that SurgBuddy may completely terminate or suspend their access to or use of the Product and Services at any time if they are unable at any time to determine or verify their credential, commercial and legal information. SurgBuddy always reserves the right to carry out re-verification of credential information as and when required, and the above rights and commitments will extend to re-verification as well.
• After the verification process, SurgBuddy activates your account and serves the basic usage of the Platform. However, you acknowledge and accept that you cannot upload or edit the gallery part of your account, use paid tools before SurgBuddy team’s audit and all of your content will be examined by the content moderator team. Yet, you are solely responsible for your content and SurgBuddy’s moderation does not relieve your responsibility of your sharing content. As a result of moderation process, your content may permanently be deleted. Moreover, your account may be temporarily or permanently disabled or suspended by our team at any time without notice for violations of these Additional Terms of Use, Terms of Use, Community Guidelines, Privacy Policy or other policies and terms.

Your Responsibilities 

• You agree that you comply with these Additional Terms of Use, General Terms of Use, Privacy Policy and Community Guidelines in all your use of the Platform, our Product and Services.
• You will hold and maintain valid licenses, permits, approvals and authorities required by applicable law to practice and provide the healthcare services provided by you; adequate knowledge, training and expertise to provide the healthcare services in a professional manner with due skill, care and diligence and high standards of professionalism, service and courtesy. SurgBuddy reserves the right to verify the existence and persistence of these criteria from the Healthcare Provider and/or third parties, both in your account registration and in the post-registration process.
• You will, at all times, provide services in accordance with your responsibilities and obligations under the state of law and applicable ethical and legal practice standards. Moreover, you accept that your content on SurgBuddy Platform and usage of our Product and Services are also subject to applicable laws, ethical and legal practice standards and you are responsible for all kinds of content and interactions on the Platform. In this context, you also acknowledge and agree that you have obtained the consent of the relevant persons regarding the sharing of photos and similar data of third parties that may be included in your sharing content, or otherwise, all responsibility will belong to you.
• The Health Care Provider acknowledges and accepts that the account is personal or proprietary to the Health Care Provider or their practice and that they are expected to treat the account as confidential and these types of information cannot be shared with or assigned to any third-party. Otherwise, the Health Care Provider will be solely responsible for any disputes and damages that may arise from such cases. The Health Care Provider agrees to provide accurate, current and complete identical, professional, commercial and legal information. In the event of cancellation, suspension and/or expiration of any of the Health Care Provider’s identity and/or professional, commercial and legal information, any changes in the authorization status, field of activity and similar changes regarding its commercial or professional activity, SurgBuddy should be immediately notified. Otherwise, the Health Care Provider will be solely responsible for any disputes and damages that may arise.
• As a Health Care Provider, you are solely responsible for the professional and technical services you provide to the service recipients. Likewise, although your information is subject to verification control, we do not make any representations or commitments regarding the uncompleted, inaccurate or usefulness of any information contained in your profile or content, or the qualifications or competence of the people who placed it there. We have no liability for the consequences to your or your patients use of the Services.
• According to your basic usage of the Platform, you are free to submit any type of content including texts, comments, images, videos etc. in accordance with these Additional Terms of Use for Health Care Providers, General Terms of Use, Privacy Policy and Community Guidelines. You should always follow the Community Guidelines and do not bully or post disparaging comments about community members, other Health Care Providers or SurgBuddy itself.
